Terms of Service
Important: By engaging GenAI Secured for consultancy services, you agree to these Terms. These Terms apply to all B2B engagements including project-based contracts, advisory sessions, and technical deliverables. Please read them carefully before proceeding.
1. Acceptance of Terms
These Terms of Service ("Terms") govern the relationship between GenAI Secured ("Consultant", "we", "us", "our") and any business, organisation, or individual ("Client", "you") that engages our services, accesses this website, or communicates with us regarding a potential or ongoing engagement.
By submitting an enquiry, signing a project agreement, or otherwise instructing us to commence work, you confirm that you have read, understood, and agree to be bound by these Terms.
2. Nature of Services
GenAI Secured provides independent B2B technology consultancy services, including but not limited to:
- Generative AI engineering and architecture design.
- Offline AI and local LLM deployment (on-premise, air-gapped environments).
- Retrieval-Augmented Generation (RAG) pipeline development.
- Autonomous AI agent design and integration.
- Hardware diagnostics AI, serial log analysis, and IoT integration.
- Technical advisory and proof-of-concept development.
The specific scope, deliverables, timeline, and commercial terms of each engagement are defined in a separate written agreement (Statement of Work, project brief, or equivalent) agreed upon by both parties prior to commencement of work.
3. Technical Information and AI Solutions
GenAI Secured provides technical information, guidance, system designs, and AI solutions based on professional expertise and current best practices in the field of artificial intelligence and systems engineering. The Client acknowledges the following:
- Generative AI is a rapidly evolving field. Recommendations, architectures, and model selections that are optimal at the time of delivery may require adaptation as technology advances.
- AI systems, including Large Language Models (LLMs) and RAG pipelines, can produce unexpected, incomplete, or incorrect outputs. Results must be evaluated and validated by qualified personnel before use in production or critical decision-making contexts.
- Technical guidance provided during advisory sessions or within deliverables is specific to the context described by the Client. It is the Client's responsibility to ensure that any solution is appropriate for their specific environment, regulatory requirements, and operational needs.
- Hardware integration solutions depend on the specific hardware, firmware, and software environment of the Client. GenAI Secured cannot guarantee compatibility with undisclosed or undocumented system configurations.
4. Limitation of Liability
This clause constitutes a fundamental part of the basis on which GenAI Secured offers its services. Please read it carefully.
To the maximum extent permitted by applicable law:
- GenAI Secured shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the services provided, technical information delivered, or the use of any AI solution designed or recommended by GenAI Secured. This includes, without limitation, loss of profits, loss of data, business interruption, or loss of goodwill, even if we have been advised of the possibility of such damages.
- Our total aggregate liability to you for any claims arising out of or related to a specific engagement shall not exceed the total fees paid by you to GenAI Secured for that specific engagement in the three (3) months preceding the event giving rise to the claim.
- AI-generated outputs — including but not limited to analysis, root-cause assessments, log interpretations, and knowledge-base query responses — are provided as decision-support tools only and shall not be relied upon as the sole basis for critical operational, financial, medical, legal, or safety decisions.
- Offline AI deployments — GenAI Secured is not liable for any data loss, model degradation, or operational failure arising from the Client's own infrastructure, hardware failure, or configuration changes made after delivery.
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
5. No Warranty
Services, deliverables, and technical information are provided on a professional best-efforts basis. To the fullest extent permitted by law, GenAI Secured makes no representations or warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that AI systems delivered will be error-free, uninterrupted, or that they will meet all Client requirements where those requirements were not explicitly documented and agreed upon in advance.
6. Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information required for the delivery of services.
- Ensure that all data, documents, and materials shared with GenAI Secured are lawfully held and that sharing them does not violate any third-party rights or regulations.
- Designate a responsible point of contact for the project with authority to make decisions within the agreed scope.
- Validate and test all delivered solutions in a controlled environment before deploying to production systems.
- Maintain adequate backups of all data and systems prior to integration of any AI solution.
7. Intellectual Property
7.1 Client-Owned Deliverables
Upon receipt of full payment for an engagement, and unless otherwise specified in writing, ownership of custom deliverables developed specifically for the Client (source code, documentation, trained configurations) transfers to the Client.
7.2 Background IP
GenAI Secured retains all rights to pre-existing intellectual property, frameworks, methodologies, tools, and generic components developed prior to or independently of the engagement ("Background IP"). Where Background IP is incorporated into a deliverable, the Client receives a non-exclusive, non-transferable, perpetual licence to use that Background IP solely as part of the delivered solution.
7.3 Website Content
All content on this website — including text, illustrations, SVG graphics, code, and design — is the property of GenAI Secured and may not be reproduced without written permission.
8. Confidentiality
Both parties agree to maintain the confidentiality of any non-public information disclosed during the engagement that is designated as confidential or that should reasonably be understood to be confidential given its nature and the circumstances of disclosure.
This obligation does not apply to information that: (a) is or becomes publicly available through no breach of this agreement; (b) was already known to the receiving party; (c) is independently developed without use of confidential information; or (d) is required to be disclosed by law or court order.
Where a formal Non-Disclosure Agreement (NDA) is required, this should be requested and agreed upon in writing before any sensitive information is exchanged.
9. Payment Terms
Specific payment terms, rates, and milestones are agreed upon in the written engagement agreement for each project. Unless otherwise stated in writing:
- Invoices are payable within 14 days of the invoice date.
- GenAI Secured reserves the right to suspend work on an engagement where invoices are overdue by more than 30 days.
- All prices are exclusive of applicable taxes (e.g., VAT) unless explicitly stated otherwise.
10. Termination
Either party may terminate an engagement by providing written notice as specified in the relevant project agreement. In the absence of a specific agreement, 14 days' written notice is required. Upon termination, the Client is liable for payment of all work completed and reasonable costs incurred up to the date of termination.
GenAI Secured may terminate an engagement immediately if the Client materially breaches these Terms or any project agreement, or if continuing the engagement would require us to act unethically or illegally.
11. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GenAI Secured is registered, without regard to its conflict of law provisions. In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation before pursuing any formal legal action.
The specific governing law and dispute resolution mechanism applicable to individual project engagements will be set out in the written project agreement.
12. Changes to These Terms
We reserve the right to update these Terms at any time. The updated version will be posted on this page with a revised "Last Updated" date. Continued use of this website or engagement of our services after such changes constitutes acceptance of the updated Terms. For ongoing engagements, the Terms in effect at the time of the signed project agreement shall apply unless mutually agreed otherwise in writing.
